While these investments often involve companies that are beyond the “seed capital” stage, we also represent companies in early-stage “family and friends” placements of common stock. We are familiar and experienced in dealing with companies in the early stages of capital formation and help founders to navigate complex securities laws. Our attorneys have considerable experience in counseling clients on securities laws, including employee stock options and restricted stock plans. We have extensive experience in assisting clients in navigating through state securities bureaus and our attorneys are frequently consulted on New Hampshire state securities laws matters.

We also have particular experience working with our clients on securities matters. Any time a company is looking to raise capital, provide equity incentives, or otherwise offer or sell any kind of security, including promissory notes, limited liability company interests, and other forms of securities, the company must keep in mind its securities law compliance obligations.
